South Africa’s Competition Tribunal has approved a major acquisition that will see global logistics giant DHL expand its footprint in the local supply chain sector through the takeover of three South African logistics companies.
The approved deal gives DHL control over Vital Distribution, Staffing Logistics, and Vital Fleet, all part of the Vital Group, which operates across freight transport, warehousing, fleet management, and workforce logistics services.
The Competition Commission had previously recommended approval of the transaction, and the Tribunal has now granted it unconditionally, concluding that the deal does not pose a substantial risk to competition in the local market and raises no significant public interest concerns.

The acquisition is part of DHL’s wider strategy to strengthen its integrated logistics operations across Africa, where demand for efficient supply chain services continues to grow. Increasing e-commerce activity, regional trade expansion, and industrial demand have made logistics infrastructure a key focus area for global operators.
Each of the acquired companies brings specific capabilities into DHL’s ecosystem. Vital Distribution specialises in road freight, warehousing, and distribution services across sectors such as retail and manufacturing. Vital Fleet manages a broad range of vehicles, including local delivery fleets and long-haul transport. Staffing Logistics provides temporary workforce solutions for logistics and related industries.

By absorbing these operations, DHL is expected to enhance its ability to offer end-to-end logistics services, combining transport, storage, and staffing under one integrated network. Industry analysts say the move reflects a broader global trend of consolidation in the logistics sector, where large multinational firms are scaling up regional operations to improve efficiency and competitiveness.
